    Terms of Service

    Last updated: 1 November 2026

    1. Who we are and who these Terms apply to

These Terms are an agreement between Agentic Automation Labs LLP, a limited liability partnership registered in India (LLPIN ADC-5596), with its registered office at UNIT 101 OXFORD TOWERS, 139/88 HAL OLD AIRPORT RD, H.A.L II Stage, Bengaluru- 560008, Karnataka, India ("AAL", "we", "us"), and the business that signs up for our services ("Customer", "you").

Our services are for businesses only. By creating an account, paying an invoice or using the services, you confirm that you are at least 18 and authorised to bind your business to these Terms.

    2. Key terms

    • Service: our AI conversation agent, client dashboard, integrations and related support.
    • Agent: the AI assistant we deploy for you on your channels.
    • End Customer: a person who chats with your Agent.
    • Customer Content: the documents, links, policies, catalog data and other material you provide, plus the conversations your Agent handles.
    • Conversation: our billing unit, defined in Section 5.
    • Plan and Add-on: the subscription and extras listed on our pricing page or in your order.

    3. The Service

3.1 The features, conversation allowance and support level of each Plan are listed on our pricing page or in your order at the time you buy.

3.2 For Starter, Growth and Pro, the scope and go-live timeline are confirmed in your onboarding plan after your Automation Audit.

3.3 WhatsApp, Instagram and Facebook channels are activated only after Meta approves business verification for your account, and they remain subject to Meta's own terms and policies. Meta may change or restrict these channels at any time. That is outside our control.

3.4 We may improve or change the Service. We will not materially reduce the core features of your paid Plan during a paid term.

    4. Accounts and security

4.1 The account owner manages billing, users and agent settings. Owners may invite team members by email.

4.2 Two-factor authentication is required for every user who changes settings.

4.3 You are responsible for all activity under your account. Tell us promptly at support@agenticautomationlabs.com if you suspect unauthorised access.

    5. Plans, fees and billing

5.1 Prices. Prices are in US dollars and exclude applicable taxes, which are added where required.

5.2 Billing cycles. Plans are billed monthly or annually. Annual plans are 20% off the monthly price and billed upfront for the year.

5.3 Setup fees. Starter, Growth and Pro carry a one-time setup fee, billed at the start of onboarding. Starter Lite has no setup fee.

5.4 Automatic renewal. Subscriptions renew automatically at the end of each billing period until you cancel. Before an annual plan renews, we email you a reminder. We give at least 30 days' notice of any price change, and the new price applies from your next renewal.

5.5 What counts as a Conversation. A Conversation is tied to a session: the continuous stretch of time an End Customer is chatting with your Agent. A session ends after 15 minutes with no messages, and the End Customer's next message starts a new one. A very long session may be counted as more than one Conversation in the background. The End Customer sees no interruption.

5.6 Allowances and bundles. Monthly allowances reset each billing month and do not roll over. Conversation bundles are valid for one year from purchase. Usage is drawn first from your monthly allowance, then from any bundle, then billed as extra conversations.

5.7 Extra conversations. Conversations above your allowance are billed at your Plan's rate on the pricing page. Each Plan has a monthly limit on extra-conversation charges, shown in your dashboard. We alert the owner at 80% and 100% of that limit. At 100%, your Agent switches to a reply that collects the End Customer's contact details, until your next billing month or until you buy a bundle or upgrade.

5.8 Fair-use limits. By default, an End Customer can send up to 30 messages per chat and 60 messages per hour. We can adjust these limits for your account.

5.9 Third-party costs. Fees charged by third parties for tools you connect (for example Meta messaging charges, Shopify, your CRM or calendar) are your responsibility and are separate from your Plan.

5.10 Late payment. An invoice is overdue if unpaid on its due date. If it is still unpaid one day after the due date, we may pause your Agent until payment is received. You keep access to your dashboard while overdue, with a payment reminder. Repeated or extended non-payment may lead to termination under Section 16.

    6. Starter Lite

Starter Lite is self-serve. You upload your own files and links, the Agent is built from them, and we notify you when it is ready. Starter Lite includes a basic dashboard: knowledge upload, conversation count and plan usage. Other dashboard features are visible and unlock when you upgrade. Support is by email, with a response within 48 hours.

    7. Your responsibilities

7.1 You are responsible for the accuracy and legality of your Customer Content, and for having the rights to it and to any channel or account you connect, such as a WhatsApp Business number or Shopify store.

7.2 You must tell your End Customers, in your own privacy notice, that you use an AI agent and service providers to handle their messages. You must have any consent the law requires.

7.3 You must not use the Agent to make or communicate final decisions in legal, medical, financial, insurance, employment or housing matters without review by a qualified person.

7.4 You must follow Section 9 (Acceptable use) and the terms of every third-party platform you connect.

7.5 You must not direct the Service at children or submit sensitive categories of personal data (such as health, biometric or payment card data) unless we have agreed to this in writing.

    8. AI-generated answers

8.1 Your Agent's replies are generated by AI. They may sometimes be inaccurate, incomplete or out of date.

8.2 Every chat starts with a notice telling End Customers they are talking to an AI and should check important details. Do not remove or hide that notice.

8.3 You control the content your Agent learns from. You are responsible for reviewing it and for how your business relies on the Agent's answers.

8.4 We do not guarantee any particular resolution rate, sales result or business outcome.

    9. Acceptable use

You must not use the Service, or let anyone else use it, to:

    1. Break any law, or infringe anyone's intellectual property, privacy or other rights.
    2. Pretend your Agent is a human, or remove or hide the notice that tells people they are chatting with an AI.
    3. Mislead or defraud people, including with fake reviews, scams, phishing or deceptive offers.
    4. Send spam or unsolicited bulk messages, or break the messaging rules of WhatsApp, Instagram, Facebook or any other platform you connect.
    5. Run a general-purpose AI assistant as your product on Meta's channels. Your Agent is for your own customer conversations.
    6. Make or communicate final decisions in legal, medical, financial, insurance, employment or housing matters without review by a qualified person.
    7. Direct the Service at children, or process sensitive data (such as health, biometric or payment card data) unless we have agreed in writing.
    8. Harass, threaten or discriminate against anyone, or share hateful, violent or sexually explicit content.
    9. Try to break, overload, reverse engineer or get around our security, limits or safety measures, including extracting our prompts or other clients' data.
    10. Use the Service in a way that breaks the usage policies of our AI providers.

We may remove content, pause an Agent or suspend an account that breaks this section. Where practical, we give notice and a chance to fix the problem. Report misuse to support@agenticautomationlabs.com.

    10. Data protection

10.1 Our Privacy Policy explains how we handle personal data.

10.2 For End Customer data, you decide why and how it is processed, and we process it on your behalf and on your instructions.

10.3 Conversation transcripts are visible in your dashboard for 60 days. After that, they move to a restricted archive. Your analytics keep their full history.

10.4 AAL support staff may view your account and transcripts only to provide support, fix problems, keep the Service secure or meet legal obligations.

10.5 We do not sell personal data. A data processing agreement is available on request.

    11. Intellectual property

11.1 You own your Customer Content.

11.2 You give us permission to use Customer Content only to provide, secure and support the Service for you.

11.3 We own the Service, including our software, prompts, workflows, templates and dashboard. You keep your Customer Content. We do not use your Customer Content to train AI models, and we use AI providers only under commercial terms or account settings that bar them from training their models on it.

11.4 If you send us feedback, we may use it without obligation to you.

    12. White-labeling

White-labeling is an optional add-on, available on any Plan for $999 per year. It replaces AAL branding with yours within the scope set out in your order.

    13. Confidentiality

Each party will keep the other's non-public business information confidential and use it only for this agreement. This duty does not apply to information that is public, already known to the recipient, or that must be disclosed by law.

    14. Third-party services

The Service connects to third-party platforms such as Meta, Shopify, CRMs and calendars. Your use of them is governed by their terms. We are not responsible for their availability, changes or charges. If you connect a Google calendar, Section 6A of our Privacy Policy explains how we handle data from it.

    15. Availability and support

15.1 We work to keep the Service available, but we do not guarantee uninterrupted service unless a written service-level agreement says otherwise. We may carry out maintenance, with notice where practical.

15.2 Support levels by Plan are listed on our pricing page and our Help & support page.

    16. Suspension, cancellation and termination

16.1 You may cancel at any time. Cancellation takes effect at the end of your current billing period. Refunds follow our Refund & Cancellation Policy.

16.2 We may suspend or end the Service if you fail to pay, breach these Terms (including Section 9), create a security risk, or if the law requires it. Where practical, we give notice and a chance to fix the problem.

16.3 After your account ends, you have 30 days to request an export of your Customer Content. We then delete it as described in Section 16.4.

16.4 Deleting your organization and data. The account owner can ask us at any time to delete your organization's account and all its data, by emailing support@agenticautomationlabs.com from the owner's email address. We confirm the request with the owner before acting, and we skip the export window if you ask us to. Within 30 days of confirming, we permanently delete:

    • your users and their profiles
    • your Customer Content and knowledge base
    • all conversations, including archived transcripts
    • your agent settings and connected-tool credentials

We keep only what the law requires, such as invoices, tax and billing usage records. Copies in our backups are overwritten automatically as the backups expire. Deletion ends your Plan, and any refund follows our Refund & Cancellation Policy. Deletion cannot be undone.

16.5 Team member profiles. The account owner can remove a team member at any time. A team member can also ask us to delete their own profile. This removes their login and personal details. Conversations they handled stay with your organization's data.

    17. Disclaimer

Apart from what these Terms expressly state, and to the extent the law allows, the Service is provided "as is" and "as available", without other warranties.

    18. Limitation of liability

To the extent the law allows:

    • Neither party is liable for indirect, incidental, special or consequential losses, including lost profits, revenue or data.
    • Each party's total liability under these Terms is limited to the fees you paid us in the three months before the claim.

These limits do not apply to your payment obligations or to either party's fraud.

    19. Indemnity

You will defend and compensate us against third-party claims arising from your Customer Content, your End Customer relationships, your breach of these Terms, or your misuse of the Service.

    20. Governing law and disputes

20.1 These Terms are governed by the laws of India.

20.2 Before starting formal proceedings, the parties will try in good faith to resolve any dispute for 30 days.

20.3 If the dispute is not resolved, it will be settled by arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator, seated in Bengaluru, in English.

20.4 The courts at Bengaluru have jurisdiction for interim relief.

    21. Changes to these Terms

We may update these Terms. For material changes, we email account owners at least 30 days before they take effect. Using the Service after that date means you accept the updated Terms.

    22. General

    • Neither party may transfer this agreement without the other's consent, except as part of a merger or sale of the business.
    • If any clause is unenforceable, the rest remains in force.
    • Neither party is liable for delays caused by events beyond its reasonable control.
    • These Terms, your order and the policies linked here are the entire agreement on this subject.
